SERVICE: Business Language Boutique Ltd will provide business language support services for a mutually agreed number of hours per month. The service is purchased for a minimum of three months. Hours purchased and unused will be lost and will not be transferred to the following month, unless otherwise agreed in writing.
SCOPE: The scope of service, the turnaround time, services provided, and the schedule of fees will be based on the client’s needs, will be agreed with the client individually, and confirmed via email. Additions to the scope or changes to the original brief can be negotiated and if agreed, will be confirmed in writing.
ACCEPTANCE OF WORK: Any complaint in connection with services carried out shall be notified to the Company by the Client (or vice-versa) not later than within 14 days from the agreed delivery date. If no complaint is received within 14 days in writing, the work is deemed as accepted.
EMPLOYEES & SUB-CONTRACTORS: Business Language Boutique Ltd undertakes to consult with the Client before delegating any of the activities under the scope of work obligations. Business Language Boutique Ltd shall have discretion as to which of its employees/associates/contractors are assigned to perform its services but shall consult with the Client concerning any significant changes.
FEES & PAYMENT: The payment of a mutually agreed monthly fee will be transferred to the Business Language Boutique Ltd banking account for each month in advance. Additional fees and expenses may apply and will be communicated to the Client as/if required and will not be incurred without the Client’s prior written consent. All additional fees will be invoiced separately and due for payment within 30 days of the invoice date.
EXPENSES: If travel and other expenses are not included in the agreed scope of service, the Client shall reimburse the costs of reasonable, documented, and necessary direct out-of-pocket expenses (if any) incurred in connection with the performance of services so long as said travel and other expenses were approved by the Client in writing in advance.
LATE PAYMENTS: If the payment is not received in full by the due date of any invoice, a 10% late fee will be applied for every week the invoice is outstanding. If the invoice is outstanding for more than 14 days from the due date, the obligations of the Business Language Boutique Ltd under the agreed scope of work may be suspended.
ACCESS & RESOURCES: The Client agrees to provide Business Language Boutique Ltd with reasonable assistance, cooperation and access to the Client’s staff, materials and resources for the performance of the agreed scope of services.
CONFIDENTIALITY: Any documents and information that the Client provides will be kept confidential in accordance with our Privacy Notice.
INDEMNIFICATION: The client agrees to hold the writer harmless for any such damages that may arise from the writer’s work. In no event shall the writer be liable for any direct, indirect, punitive, incidental, special consequential damages whatsoever arising out of or connected with the use or misuse of their work product. The writer assumes no responsibility for any special, incidental, indirect, or consequential damages of any kind, or any damages whatsoever (including without limitation, those resulting from her work product or from: (1) user or client reliance on the materials or documents produced (2) costs of replacement writings, training, or documents (3) loss of use, data, or profits (4) delays or business interruptions, (5) and any theory of liability, arising out of or in connection with the use or performance of writer’s work whether or not the writer has been advised of the possibility of such damages.
JURISDICTION: Any dispute or litigation arising from the execution, compliance or termination shall be submitted to the jurisdiction of the competent courts and tribunals in the England and Wales
